Michael Dalton's practice focus is business and corporate transactions. He also works on intellectual property matters, with an emphasis on trademarks. He represents a diverse business clientele, including retailers, real estate companies, and professional service providers. He has extensive experience in: forming corporations, partnerships, and limited liability companies; representing issuers and investors in debt and equity financings; drafting and negotiating asset purchase, stock purchase, and merger agreements; and advising businesses in ownership, operations and management, such as drafting and negotiating employment agreements, incentive compensation plans, and joint venture agreements. His emphasis in intellectual property includes unfair competition issues, and trade name and trademark selection, licensing, co-existence agreements and infringement issues. He has prosecuted hundreds of federal trademark applications for both technology and nontechnology companies.
